These Terms and Conditions (“Terms”) govern your access to and use of the EchelonEdgeAI website, platform, and related services (“EchelonEdgeAI”, “we”, “us”, or “our”).

By accessing or using EchelonEdgeAI, you agree to be bound by these Terms. If you do not agree, you must not access or use the platform.

1. About EchelonEdgeAI

EchelonEdgeAI is a market context and trade review platform designed to help users understand macro conditions, structure trade ideas, and review performance relative to market context.

EchelonEdgeAI is not a brokerage, financial adviser, investment manager, or signal service. We do not execute trades, hold client funds, or provide personalised financial advice.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use EchelonEdgeAI.

By using the platform, you represent that:

  • you are legally able to enter into a binding agreement

  • the information you provide is accurate and current

  • you will use the platform only in compliance with applicable laws and regulations

 

3. No Financial Advice

All content, data, analysis, summaries, insights, and tools provided through EchelonEdgeAI are for informational and educational purposes only.

EchelonEdgeAI does not provide:

  • financial advice

  • investment advice

  • legal or tax advice

  • trade signals

  • recommendations to buy, sell, or hold any instrument

Any decision you make based on information from the platform is made solely at your own risk. You are fully responsible for your own trading and investment decisions, including any resulting profits or losses.

Past performance, patterns, alignment indicators, context summaries, and other platform outputs do not guarantee future results.


4. User Accounts

To access certain features, you may be required to create an account.

You are responsible for:

  • maintaining the confidentiality of your login credentials

  • all activity that occurs under your account

  • notifying us promptly of any unauthorized access or suspected security breach

We may suspend or terminate accounts that contain false information, violate these Terms, or are used in a way that may harm the platform or other users.


5. Platform Use

You may use EchelonEdgeAI only for lawful purposes and in accordance with these Terms.

You agree not to:

  • use the platform for any unlawful, fraudulent, or misleading purpose

  • attempt to gain unauthorized access to any part of the platform or its systems

  • interfere with the security, integrity, or performance of the platform

  • copy, scrape, reproduce, resell, or exploit any portion of the platform without our written permission

  • reverse engineer, decompile, or attempt to extract source code or underlying logic except where prohibited by law

  • use the platform in a way that could damage, disable, overload, or impair our services


6. User Content & Data

You may submit information to the platform, including positions, journal notes, trade outcomes, and other inputs (“User Content”).

You retain ownership of your User Content. However, by submitting content to EchelonEdgeAI, you grant us a limited, non-exclusive license to use, store, process, and display that content solely for the purpose of operating, improving, and providing the platform.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

You agree not to upload or submit content that:

  • infringes any third-party rights

  • is unlawful, abusive, defamatory, or harmful

  • contains malware, malicious code, or disruptive material

We reserve the right to remove content or suspend access where necessary to protect the platform, comply with law, or enforce these Terms.


 7. Subscriptions, Billing and Payments

Certain features of EchelonEdgeAI may require payment.

By purchasing a subscription, you agree that:

  • you will provide valid payment information

  • you authorize us and our payment processors to charge the applicable fees

  • subscription pricing may change in the future, with notice where required

Unless otherwise stated, subscriptions renew automatically until cancelled.

You may cancel your subscription at any time, and your access will continue until the end of the current billing period unless otherwise stated.

Except where required by law, fees are non-refundable.


8. Availability and Changes

We may update, modify, suspend, or discontinue any part of EchelonEdgeAI at any time, with or without notice.

We do not guarantee that the platform will always be available, uninterrupted, secure, or error-free. From time to time, access may be limited for maintenance, upgrades, or technical reasons.

We may also change these Terms from time to time. Continued use of the platform after updated Terms are posted constitutes acceptance of those changes.


9. Third Party Services and Links

EchelonEdgeAI may use or link to third-party services, tools, data providers, or websites.

We are not responsible for the content, accuracy, availability, or practices of any third party. Your use of third-party services is subject to their own terms and policies.


10. Intellectual Property

All rights, title, and interest in and to EchelonEdgeAI, including the platform, design, branding, content, software, text, graphics, features, and underlying materials, are owned by or licensed to us and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, reproduce, create derivative works from, or commercially exploit any part of EchelonEdgeAI without our prior written consent.

“EchelonEdgeAI” and related names, logos, and branding may not be used without permission.


11. Intellectual Property

EchelonEdgeAI is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranties of:

  • merchantability

  • fitness for a particular purpose

  • non-infringement

  • accuracy, reliability, completeness, or availability

We do not warrant that:

  • the platform will meet your requirements

  • the platform will be uninterrupted, timely, secure, or error-free

  • any outputs, insights, or analyses will be accurate, complete, or suitable for your trading decisions


12. Limitation of Liability

To the maximum extent permitted by law, EchelonEdgeAI and its affiliates, officers, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, trading losses, or other intangible losses arising out of or related to your use of, or inability to use, the platform.

Our total liability to you for any claim arising out of or relating to these Terms or the platform will not exceed the amount you paid to us, if any, in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.


13. Indemnity

You agree to indemnify, defend, and hold harmless EchelonEdgeAI and its affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the platform

  • your User Content

  • your breach of these Terms

  • your violation of any law or third-party rights


14. Termination

We may suspend or terminate your access to EchelonEdgeAI at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for the platform or other users, or where required for legal or security reasons.

You may stop using the platform at any time.

Sections of these Terms that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, liability limits, indemnity, and governing law.


15. Privacy

Your use of EchelonEdgeAI is also subject to our Privacy Policy, which explains how we collect, use, and protect your information.


16. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising out of or relating to these Terms or your use of EchelonEdgeAI will be subject to the exclusive jurisdiction of the courts of New Zealand, unless applicable law requires otherwise.


17. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.


18. Waiver

Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.


19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly referenced, constitute the entire agreement between you and EchelonEdgeAI regarding your use of the platform.
